These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Artebello ("Artebello," "we," "us," or "our") governing your access to and use of artebello.pro, the AI Readiness Assessment, and related online offerings (collectively, the "Services").
Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. About Artebello
Artebello is an ai readiness & transformation consultancy. We help organizations assess AI readiness, define transformation strategy, build roadmaps, and implement intelligent systems - including AI agents, automation, and applications - with a focus on measurable business impact.
Information on the website is provided for general informational purposes. Professional consulting, strategy, and engineering services are delivered under separate written agreements (such as statements of work, master services agreements, or proposals) that govern fees, deliverables, timelines, and confidentiality.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account registration and security
Certain features may require you to provide accurate contact information. You agree to provide truthful information and to keep it current. You are responsible for maintaining the confidentiality of any credentials associated with your use of the Services and for all activities conducted under your information.
4. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful business and personal purposes.
You agree not to:
- Use the Services in violation of applicable laws, regulations, or third-party rights
- Attempt to gain unauthorized access to systems, accounts, or data
- Interfere with or disrupt the integrity, security, or performance of the Services
- Scrape, crawl, or harvest data from the Services by automated means without our prior written consent, except as permitted by standard search engine indexing
- Reverse engineer, decompile, or attempt to extract source code except where expressly permitted by law

- Use the Services to develop competing products through unauthorized extraction of proprietary frameworks, content, or methodologies
5. Intellectual property
The Services and all related content - including text, graphics, logos, designs, software, frameworks, assessments, scoring models, the AI Readiness Index™, playbooks, templates, and documentation - are owned by or licensed to Artebello and protected by intellectual property laws.
Except for the limited license in Section 4, no rights are granted to you by implication or otherwise. You may not copy, modify, distribute, sell, lease, or create derivative works from our proprietary materials without prior written permission.
Trademarks, service marks, and trade names displayed on the Services (including "Artebello" and "AI Readiness Index™") may not be used without our prior written consent.
6. User submissions and feedback
If you submit inquiries, assessment responses, feedback, suggestions, or other materials ("Submissions"), you grant Artebello a worldwide, royalty-free license to use, reproduce, and process those Submissions to operate the Services, respond to you, improve our offerings, and perform engagements you request.
You represent that you have the right to provide Submissions and that they do not infringe third-party rights or contain unlawful content. We may remove Submissions that violate these Terms or applicable law.
7. AI Readiness Assessment
The AI Readiness Assessment is a self-service diagnostic tool that produces indicative scores and recommendations based on your responses. You acknowledge and agree that:
- Results are estimates based on self-reported information and automated scoring logic
- Results do not constitute a formal audit, certification, legal advice, or guaranteed business outcome
- You are responsible for the accuracy of information you provide in the assessment
- Benchmarks and recommendations are general guidance and may not reflect your organization's unique context, regulatory environment, or risk tolerance
- Decisions made based on assessment output are your responsibility
We may modify, suspend, or discontinue the assessment at any time without liability.
8. Consulting and professional services
Descriptions of consulting, strategy, governance, training, and engineering services on the website are illustrative and not an offer to contract. Binding engagements require a mutually executed agreement specifying scope, fees, deliverables, acceptance criteria, and other terms.
Where a written services agreement conflicts with these Terms, the services agreement controls for that engagement.
9. Fees and payment
Access to the public website and AI Readiness Assessment is currently provided free of charge unless otherwise stated. Paid consulting, engineering, training, or premium resources are subject to pricing and payment terms in the applicable agreement or checkout flow.
Unless expressly stated otherwise in a services agreement, fees are non-refundable once work has commenced or deliverables have been provided. Late payments may incur interest or suspension of services as specified in the relevant contract.
10. Third-party services and links
The Services may reference or integrate third-party tools and websites, including scheduling platforms (such as Calendly), analytics providers, social media platforms, and client systems integrated during engagements. Third-party services are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services.
11. Confidentiality
If you and Artebello exchange confidential information during an evaluation or engagement, confidentiality obligations will be governed by the applicable services agreement or mutual non-disclosure agreement. You agree not to disclose non-public information about Artebello's proprietary frameworks, pricing, or methodologies obtained through unauthorized channels.
12. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the fullest extent permitted by law, Artebello disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Services will be uninterrupted, error-free, or secure
- Assessment results or website content will be accurate or complete
- AI-generated or AI-assisted outputs will be free from errors, bias, or unintended consequences
- Any particular business, operational, or financial outcome will be achieved
Content on the Services is not legal, financial, tax, or regulatory advice. You should consult qualified professionals before making decisions based on information obtained through the Services.
13. Limitation of liability
To the maximum extent permitted by applicable law, Artebello and its directors, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amount you paid to Artebello for the specific service giving rise to the claim in the twelve (12) months preceding the event, or (b) one hundred U.S. dollars (USD $100).
Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the fullest extent permitted by law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Artebello and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services
- Your Submissions or assessment responses
- Your violation of these Terms or applicable law
- Your infringement of third-party rights
15. Suspension and termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, pose a security risk, or if required by law. Upon termination, the license granted in Section 4 ends immediately.
Sections that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution - will survive.
16. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If not resolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless applicable law requires a different forum.
Nothing in this section prevents either party from seeking injunctive or equitable relief for intellectual property or confidentiality violations.
17. Force majeure
We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, government actions, or widespread service outages affecting third-party providers.
18. Export and sanctions compliance
You agree to comply with applicable export control, sanctions, and trade laws. You may not use the Services if you are located in, or acting on behalf of a party located in, a jurisdiction subject to comprehensive sanctions, or if you are a prohibited or restricted party under applicable regulations.
19. Changes to these Terms
We may modify these Terms at any time by posting an updated version on this page and updating the "Last updated" date. Material changes may also be communicated through the website or by email where appropriate. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms, unless otherwise required by law.
20. General provisions
- Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Artebello regarding use of the public Services, superseding prior understandings on that subject.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Relationship: Nothing in these Terms creates a partnership, joint venture, or agency relationship except as expressly set out in a separate services agreement.
